What corporate governance is

Corporate governance is “the way in which suppliers of finance to corporation assure themselves of getting a return on their investment” (Shleifer & Vishny, 1997, page 737). It is always assumed in the standard theory (neoclassical theory) managers have their own interests to maximize their benefits. Very often managers deviate from the interests of shareholders, who wants to maximize return of the invested money. This definition may be the most frequently cited by scholars who have research interests in corporate governance.
A wider definition may be from Tirole (2001). He defines corporate governance as the design of institutions to make managers internalize welfare of stakeholders in the firm. Meanwhile, the OECD defines corporate governance deals as the rights and responsibilities of a company’s management, its board, shareholders and various stakeholders.

Kebetulan saya belum menemukan kamus Inggris-Indonesia yang menterjemahkan kata ini. Kamus Inggris-Indonesia dari John M Echols tidak membahas kata ini. Saya tidak tahu kamus-kamus Inggris-Indonesia yang lain.
Kalau mengacu ke kata “good governance” sebagai kata yang lebih populer di media massa, diterjemahkan sebagai ‘tata kelola pemerintahan yang baik’. Sebagai catatan, governance disini mengacu ke governance di tingkat pemerintahan.
Governance di tingkat perusahaan, yaitu corporate governance, mungkin diterjemahkan sebagai ‘tata kelola perusahaan’. Cuma disini harus dibedakan dengan manajemen. Karena governance lebih luas perngertiannya daripada manajemen.
Webster online dictionary, misalnya, menterjemahkan governance sebagai “the act of governing”. Atau, online kamus lain mendefinisikan sebagai “a method or system of government or management”.
Saya pribadi agak kurang “sreg” dengan penggunaan kata “tata kelola perusahaan” sebagai terjemahan corporate governance. Lebih baik, kita memakai kata bahasa inggrisnya saja, corporate governance.
